Jiangxi Forum of “Successful Corporate Finance for Businesses” was successfully concluded
In the morning of November 12, 2011, BM Intelligence Group and Jiangxi Corporate Services Limited jointly organized a forum of “Successful Corporate Finance for Businesses” together with a grand opening for the “One-stop Corporate Finance and IPO Services” of Jiangxi Corporate Services Limited. About 300 participants, including subsidiaries of the BMI Group, mass media and talented entrepreneurs from Jiangxi Province, attended the forum.
This forum was themed as “Successful Corporate Finance for Businesses in the Period of Tightening Monetary Policy”. It aimed to assist corporates in tackling difficulties regarding corporate finance, answering their enquiries, developing insights and ideas, and helping them to connect to the right party in corporate finance. Mr. Lowell Lo, chairman of the BMI Group, and Mr. Yang, the president of Jiangxi Corporate Services Limited, delivered a speech on corporate finance. In the afternoon’s seminar, professional representatives from the BMI Group interacted with attendants to exchange insights on corporate finance and solved various enquires from attendants. Internal Training Program of BMI Consultants (Shenzhen) Limited
BMI Consultants (Shenzhen) Limited held a two-week internal training program from October 24 to November 4, 2011. It included tax auditing, internal-control consultancy, financial arrangement and IPO legal construction etc. The program took listing company as case example, which relates to all aspects of IPO, to explain to participants. All staff from investment consultant department and marketing department took part in the training program.
This training program was highly efficient and detailed. Instructors were responsible for collecting possible questions, preparing PowerPoint and the content while manager and responsible staff provided suggestions and participated. All staff took an active role in the training which resulted in effective and positive training result. |

Several months after the HKEx’s revised listing rules on resources-related companies come into effect, the SGX finally announced the new Catalist listing rules for companies in the sector on 19 January 2011. The new rules set out additional listing criteria, disclosure requirements and continuing obligations for companies whose principal activities consist of exploration of and / or extraction of mineral, oil and gas and have been effective since 1 February 2011.

Listing Rules Amendments - BMI Corporate Services Limited
The Stock Exchange of Hong Kong Limited (the “HKEx”) published on 28 October 2011 the Consultation Conclusion and Listing Rules Amendments on Review of the Corporate Governance Code (the “Code”) and Associated Listing Rules. To provide a sound regulatory framework appropriate for the market and maintain a high standard of corporate governance, the HKEx adopted a combination of Rules, Code Provisions and Recommended Best Practices.
In order to raise the transparency of issuers’ corporate governance and to protect investors, the HKEx requires the issuers to put on the issuers’ and the HKEx’s websites (collectively, the “Websites”) both the English and Chinese versions of the issuers’ updated and consolidated version of constitutional documents such as the Memorandum and Articles of Association and terms of reference of the audit committee, remuneration committee and nomination committee specifying the roles and functions of directors. In addition, the board of directors (the “Board”) should establish terms of reference of corporate governance and make it available on the Websites.
The HKEx also introduces a new rule to strengthen the independent element on the Board. As required by the HKEx, the Board should include a balanced composition of executive and non-executive directors (including independent non-executive directors (the “INED(s)”)) in order to have a strong independent element on the Board to exercise independent judgment effectively. In regard, the HKEx introduced a rule that at least one-third of the Board should be INEDs.
As most of the Rules and Code amendments will be effective on 1 January 2012 and 1 April 2012 respectively, issuers are expected to review their corporate governance practices and take appropriate actions accordingly.
