The share option scheme of a listed company or any of its subsidiaries must be approved by shareholders of the listed company in general meeting. Except a share option scheme adopted by a new applicant for listing does not need to be approved by its shareholders after listing, however, all the terms of this share option scheme must be clearly set out in the prospectus.
